NOTE! Steel Cod makes every effort to ensure each model has the correct and most current specification (specs) sheets. That being said, it is the responsibility of the user (salesperson) to verify the specs are correct BEFORE sending to the customer/cabinet maker/builder, etc.

1. Terms

By accessing this web site, you are agreeing to be bound by these web site Terms and Conditions of Use, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this web site are protected by applicable copyright and trade mark law.

2. Use License

  1. Permission is granted to temporarily download one copy of the materials (information or software) on Steel Cod's web site for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:
    1. modify or copy the materials;
    2. use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
    3. attempt to decompile or reverse engineer any software contained on Steel Cod's web site;

3. "One User, One Account" Policy

To provide accurate customer service and security, and in accordance with Identity and Access Management (IAM) best practices and industry guidelines, Steel Cod has a strict "One User, One Account" policy as follows.

  1. Authenticated users of the site shall have only one registered account for authentication and authorization.
  2. Account passwords are not to be shared with other users.
  3. Users accounts are representative of single individuals, not groups of people.
  4. Information provided at the time of user registration shall accurately describe the user who is registering.
  5. Users shall not register other users on the other user's behalf.
  6. Users accounts are non-transferable.

4. Disclaimer

  1. The materials on Steel Cod's web site are provided "as is". Steel Cod makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Further, Steel Cod does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Internet web site or otherwise relating to such materials or on any sites linked to this site.

5. Limitations

In no event shall Steel Cod or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption,) arising out of the use or inability to use the materials on Steel Cod's Internet site, even if Steel Cod or a Steel Cod authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

The materials appearing on Steel Cod's web site could include technical, typographical, or photographic errors. Steel Cod does not warrant that any of the materials on its web site are accurate, complete, or current. Steel Cod may make changes to the materials contained on its web site at any time without notice. Steel Cod does not, however, make any commitment to update the materials.

Steel Cod has not reviewed all of the sites linked to its Internet web site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Steel Cod of the site. Use of any such linked web site is at the user's own risk.

8. Site Terms of Use Modifications

Steel Cod may revise these terms of use for its web site at any time without notice. By using this web site you are agreeing to be bound by the then current version of these Terms and Conditions of Use.

8. Governing Law

Any claim relating to Steel Cod's web site shall be governed by the laws of the State of Massachusetts without regard to its conflict of law provisions.

9. Referrals

At times Steel Cod may refer potential customer leads to companies subscribed to Steel Cod Enterprise. In order to receive these referals, the company agrees to the following conditions:

  1. Company will follow up promptly and appropriately.
  2. Company will not spam or enroll potential customer lead in any regular or automated emails.
  3. Company acknowledges that potential customer leads are not a guarantee of a sale.
  4. Steel Cod reserves the right to refer any potential customer leads to any company, including multiple companies at once.

10. SMS Messaging

At times Steel Cod Enterprise users may wish to contact their customers and share project information through SMS text messages. These messages are informational only, and Steel Cod and its Enterprise users will not send marketing or solicitations through this service.

  1. Opt-in consent: to opt into messages from Steel Cod, text the word ACCEPT to (631) 527-3072. If you are prompted to opt-in, you will have a 90 day window to accept or decline text messages. You will not be messaged while your response is pending.
  2. Opt-out: to opt out of receiving messages from Steel Cod, text the word DECLINE to (631) 527-3072
  3. Help: to learn more information about receiving messages from Steel Cod, text the word HELP to (631) 527-3072
  4. Users should expect only the number of messages agreed to by their Steel Cod Enterprise salespeople.
  5. Steel Cod does not charge any fees to the recipients of these messages.
  6. Anyone with a valid 10-digit phone number in the United States or Canada is eligible to receive text messages from Steel Cod.
  7. Messaging to customers is one-way: a salesperson initates a message, it is sent through Steel Cod and delivered to the customer. Customers cannot reply back to the salesperson by replying to the text message.

11. Confidentiality of Customer-Provided Data

At Steel Cod, we make protecting the confidentiality of customer-provided data a priority. We want you to benefit from the competitive advantage our platform provides, while at the same time having confidence that your confidential data is reasonably secure. The following terms of service apply to the confidentiality of customer-provided data.

11.1. Confidential Information

11.1.1 Definitions: For the purposes of this Terms of Service, the following terms are defined as follows:

"Confidential Information" refers to any information or data provided by you ("Customer") to Steel Cod ("Company") that is not publicly known, including but not limited to Personally Identifiable Information (“PII”, defined below), contact details, business data, and any other proprietary or sensitive information.

“Personally Identifiable Information (“PII”) refers to any person’s first name and last name or first initial and last name in combination with any one or more of the following data elements that relate to such person: (a) Social Security number; (b) driver's license number or state-issued identification card number; or (c) financial account number, or credit or debit card number, with or without any required security code, access code, personal identification number or password, that would permit access to such person’s financial account.

11.1.2 Exclusions: Confidential Information does not include information that:

11.2. Obligations of Confidentiality

11.2.1 Non-Disclosure: The Company agrees not to disclose, distribute, or make available the Confidential Information to any third party without the prior written consent of the Customer, except as required by law or as necessary to fulfill the Company's obligations under these Terms of Service.

11.2.2 Use of Information: The Company agrees to use the Confidential Information solely for the purpose of providing services under these Terms of Service and not for any other purpose.

11.2.3 Protection of Information: The Company agrees to protect the Confidential Information with the same degree of care that it uses to protect its own confidential and proprietary information of like kind, but in no event with less than a reasonable degree of care.

11.3. Data Security

11.3.1 Security Measures: The Company will implement and maintain industry-standard technical and organizational measures to protect the security, confidentiality, and integrity of the Confidential Information.

11.3.2 Data Breach Notification: In the event of a data breach that compromises the security, confidentiality, or integrity of the Customer's Confidential Information, the Company will notify the Customer as soon as practicable and will take appropriate steps to mitigate any potential harm.

11.4. Retention, Archiving and Deletion

11.4.1 Retention of Data: The Company will only retain Customer-related data and Confidential Information in accordance with these Terms of Service and as required by law.

11.4.2 Archiving of Data: Upon the cessation of Company-provided services to the Customer, Customer’s data and Confidential Information is automatically archived by the Company. This practice preserves historical data and facilitates the efficient re-onboarding of the Customer in the event of a return to service. There is no charge for archiving.

11.4.3 Optional Deletion of Data: Upon the Customer's written request, the Company will securely delete all Customer-related data and Confidential Information, except for any copies required to be retained by law or as necessary for legitimate business purposes.

11.5. Exceptions

11.5.1 Compelled Disclosure: The Company may disclose Confidential Information if required to do so by law or by a valid order of a court or other governmental authority, provided that the Company gives the Customer prior notice of such disclosure (to the extent legally permissible) and cooperates with the Customer to obtain a protective order or other confidential treatment.

11.5.2 Feedback: Any feedback, suggestions, or improvements provided by the Customer to the Company in relation to the services provided shall not be considered Confidential Information and may be used by the Company for any purpose.

12. Limitation of Liability

12.1. General Limitation

12.1.1 Extent of Liability: To the maximum extent permitted by applicable law, in no event shall Steel Cod ("Company"), its affiliates, licensors, service providers, employees, agents, officers, or directors, be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the services provided by the Company, or any breach of these Terms of Service, even if the Company has been advised of the possibility of such damages.

12.1.2 Absolute Disclaimer: Notwithstanding anything to the contrary contained in these Terms of Service and to the maximum extent permitted by applicable law, in no event shall Steel Cod ("Company"), its affiliates, licensors, service providers, employees, agents, officers, or directors, be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to any product information, including but not limited to dimensions, colors, features, specifications, etc. By using the services provided under these Terms of Service, the Customer acknowledges that the Company does not guarantee any product information. In addition, by using the services provided under these Terms of Service, the Customer waives, releases and holds the Company harmless from and against all liabilities, claims, causes of action, and damages whatsoever, direct or indirect, at law and in equity, arising from or related to any and all inaccuracies contained in any product information. The Customer further acknowledges the Customer remains responsible to verify and confirm any and all information obtained under these Terms of Service.

12.2. No Warranties

12.2.1 No Warranties: The Company makes no warranties, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except as expressly set forth in these Terms of Service.

12.3. Basis of the Bargain

12.3.1 Acknowledgement: The Customer acknowledges and agrees that the limitations of liability and disclaimers set forth in these Terms of Service are a fundamental basis of the bargain and are intended to allocate the risks under these Terms of Service between the parties. The Company would not be able to provide the services on an economically reasonable basis without such limitations.

12.4. Indemnification

12.4.1 Indemnification: The Customer agrees to indemnify and hold the Company harmless from any claims, losses, or damages arising out of the Customer’s own breach of confidentiality obligations, failure to confirm manufacturer-provided product information, or failure to comply with these Terms of Service.
